Introduction

The following terms and conditions govern all use of the Chi-Town Review Website(s) and all content, services and products available at or through the Website. The Website is offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other associated operating rules and policies (including, without limitation, Chi-Town Review Privacy Policy).

Please read this agreement carefully before accessing or using the Chi-Town Review Website. By accessing or using any part of the Website, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access the Website or use any services. If these terms and conditions are considered an offer by Chi-Town Review, acceptance is expressly limited to these terms.

Signup for Chi-Town Review is available only to individuals who are at least 18 years old. If you are not yet 18 years old, you must not register for the Website without providing Chi-Town Review with written parental approval.

Our products and services are designed to give users as much control over their profiles and membership features as possible and to encourage users/members to express themselves freely. However, each user is responsible for the content of their account and site activity. In particular, as a user, you must make certain that none of the prohibited items listed throughout this agreement appear on your site, account or account pages or get linked to from your site, account or account page (things like spam, viruses, or hate content).

General Terms of Use

Ownership

Chi-Town Review Material. You may not claim intellectual property right or exclusive ownership to any Chi-Town Review-produced products, services or published material, including Chi-Town Review editorial content, images, graphics, logos, designs, page headers, button icons, scripts, and service names that are registered trademarks, trademarks or trade dress, whether modified or unmodified. Your use of the Website grants you no right or license to reproduce or otherwise use any Chi-Town Review or third-party trademarks.

Editorial Material. Any editorial material you upload or share through the Website, including photos, art, videos, news information and posts, and excluding names, personal contact information, may be reprinted, copied, reproduced or featured on the Website and on Chi-Town Review promotional material by  Chi-Town Review, at the site owner’s discretion. You grant Chi-Town Review a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise the copyright, publicity, and database rights you have in the uploaded or shared material.  Chi-Town Review, at its sole discretion, may also grant permission to third party news or media organizations to re-publish your material for news reporting (public dissemination of factual information), hyperlinked reference and/or educational (teaching) purposes. Chi-Town Review will not sell your editorial material or share your private contact information to/with commercial third parties without your consent.

Merchandise and Services. Chi-Town Review does not claim ownership rights to any trademarks, designs, products, services or merchandise you upload, sell or share through the Website’s marketplace. By uploading, selling or sharing products, services or merchandise on the Website, you grant Chi-Town Review  a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to reprint, copy, reproduce or feature images and/or copies of your uploaded material on the Website and Chi-Town Review promotional material however Chi-Town Review  sees fit. Such material includes logos, graphics and designs. You also grant Chi-Town Review permission to edit meta-data for your uploads, including search engine optimization data (SEO), html and alternative texts.Chi-Town Review  will not sell, resale or re-manufacture your products, services, or merchandise to or for third parties without your consent.

If you operate an account or profile, post a comment on the Website, upload material to the Website, sell or advertise a product or service through the Website,  post links on the Website, or otherwise make (or allow any third party to make) material available by means of the Website (any such material, ‘Content’), you are entirely responsible for the content of, and any harm resulting from, that material. That is the case regardless of whether the Content in question constitutes text, graphics, an audio file, computer software or any other type of electronic content. By making Content available, you represent and warrant that:

• you own the Content and its copyright, or have permission from the Content owner to make the Content available through Chi-Town Review.
•  the downloading, copying and use of the Content will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark or trade secret rights, of any third party;
• you have fully complied with any third-party licenses relating to the Content, and have done all things necessary to successfully pass through to end users any required terms;
• the Content does not contain or install any viruses, worms, malware, Trojan horses or other harmful or destructive content;
• the Content is not spam, is not machine- or randomly-generated, and does not contain unethical or unwanted commercial content designed to drive traffic to third party sites or boost the search engine rankings of third party sites, or to further unlawful acts (such as phishing) or mislead recipients as to the source of the material (such as spoofing);
• the Content is not obscene in nature (i.e. pornography), profane (i.e. swearing, expletives), libelous, defamatory, hateful or racially bigoted; does not violate the privacy or publicity rights of any third party and is not otherwise unlawful;
• the Content is legally available for sell and purchase to adults 18 years old and older, and is not restricted by law from sell or purchase to Chi-Town Review users, for example, alcohol, cigarettes and illegal substances.
• your username, site, account or account pages is not named in a manner that misleads your readers into thinking that you are another person or company. For example, your site’s URL or name is not the name of a person other than yourself or company other than your own; and
• you have, including in the case of Content that includes computer code, accurately categorized and/or described the type, nature, uses and effects of the materials, whether requested to do so by Chi-Town Review or otherwise.

If you delete Content you acknowledge that caching and/or other references to the Content may not be made immediately unavailable.

By posting Content on Chi-Town Review, it is possible for an outside website or a third party to re-post that Content. You agree to hold Chi-Town Review harmless for any dispute concerning this use.

Without limiting any of those representations or warranties, Chi-Town Review has the right (though not the obligation) to, in Chi-Town Review’s sole discretion (i) refuse or remove any content that, in Chi-Town Review’s opinion, violates any Chi-Town Review’s policy or is in any way harmful, unlawful or objectionable, or (ii) terminate or deny access to and use of the Website to any individual or entity for any reason, in Chi-Town Review’s sole discretion. Chi-Town Review will have no obligation to provide a refund of any amounts previously paid.

Responsibility of Website Visitors and Customers.

Chi-Town Review does not  always pre-screen users  or the content or information provided by users. Chi-Town Review cannot ensure that a buyer or seller will actually complete a transaction.

Items and Content. Chi-Town Review has not reviewed, and cannot review, all of the material, including computer software and merchandise, posted to the Website, and cannot therefore be responsible for that material’s content, use or effects, including the material’s quality, safety, morality or legality. By operating the Website, Chi-Town Review does not represent or imply that it endorses any material or content posted or shared by users, or that it believes such material to be accurate, useful or non-harmful. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. Any user or site owner who finds Content that is offensive, indecent, or otherwise objectionable, or Content containing factual inaccuracies, libel, technical inaccuracies, typographical mistakes, or other errors has a responsibility to report such Content to Chi-Town Review.

In the same way, anyone who discovers Content on the Website that contains material that violates the privacy or publicity rights, or infringes the intellectual property and other proprietary rights, of third parties, or the downloading, copying or use of which is subject to additional terms and conditions, stated or unstated, must report the same to Chi-Town Review. Chi-Town Review disclaims any responsibility for any harm resulting from the use by visitors of the Website, or from any downloading by those visitors of content there posted.

Meetings. You may arrange and attend online virtual meetings or in-person meetings (“Meetings”) with one or more fellow users. You are solely responsible for your interactions with others. All users must comply with Chi-Town Review’s policies and acknowledge and agree to comply with the laws of the city, county and country in which the Meeting occurs. Additional eligibility requirements for a particular group or Meeting may be set by the group’s contact person. Chi-Town Review is not involved with user generated groups, the groups’ requirements, or the Meetings. Chi-Town Review is not obligated to and may not supervise or control the Meetings, user-initiated online or offline gatherings, or the interactions among and between users and other persons or companies.  You understand that Chi-Town Review does not in any way screen its users. All users agree to exercise caution and good judgment in all interactions with others, particularly if meeting offline or in person. Chi-Town Review is not responsible for the content, events or effects of Meetings.

Disputes. Chi-Town Review vendors are responsible for accurately listing products and services, and buyers are responsible for reading the description of product and/or service, as well as all of the vendor(s)’s purchase policies and consider any lack of policy before making a purchase. All sales are binding. In the event a dispute arises between you and another user or a third party, Chi-Town Review encourages you to contact the user or third party to resolve the dispute amicably. If a resolution cannot be reached, users can contact the Website via email or web form or report the user. Chi-Town Review has no obligation to resolve disputes between users or between users and outside parties. To the extent that Chi-Town Review attempts to resolve a dispute, Chi-Town Review will do so in good faith based solely on Chi-Town Review’s policies.

You may also report user-to-user disputes to your local law enforcement, postmaster general, or a certified mediation or arbitration entity, as applicable. You release Chi-Town Review, its employees and its owners from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with disputes with one or more users, or an outside party.

Responsibility of Website Vendors and Merchants.

Chi-Town Review allows users to buy and sell products, merchandise and services on its Website.  Chi-Town Review does not  always pre-screen users (except for services that require an application) or the content or information provided by users. Chi-Town Review cannot ensure that a buyer or seller will actually complete a transaction.

Users who upload items or advertising on the Website agree to the following policies and all other policies listed in this Terms of Use.

Products. You must accurately describe your item, purchase policies and all terms of sale. You also agree to, as a vendor, adhere to all the policies outlined above under Responsibility of Content Contributors and throughout the Terms of Use. 

Laws and Taxes.  You shall comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of the Site and any Chi-Town Review service and, if applicable, your listing, purchase, solicitation of offers to purchase, and sale of items. In addition, you shall be responsible for paying any and all taxes applicable to any purchases or sales of items you make on the Website.

Pricing and Shipping. Chi-Town Review is not responsible for providing delivery services, shipping, handling, shipping costs or shipping materials for items sold on the Website. Chi-Town Review vendors are responsible for providing shipping and handling to buyers. You may charge reasonable shipping and handling fees to cover the costs for packaging and mailing the items. Sellers may not charge excessive shipping fees or otherwise avoid fees. You may not alter the item’s price after a sale for the purpose of avoiding Chi-Town Review transaction fees, misrepresent the item’s location, or use another user’s account without permission. If vendors agree to arrange meetings with buyers online or in person, they agree to the terms outline above under Responsibility of Website Visitors and Customers–Meetings.

Fees. Chi-Town Review clearly outlines on the Website all fees for its services and membership, including any commissions, transaction fees and membership fees.  Chi-Town Review reserves the right, at its sole discretion, to modify or replace any fees listed.

You are responsible for paying all applicable fees outlined on the Website and applicable taxes associated with using Chi-Town Review. Chi-Town Review may, at its sole discretion, change some or all of its services at any time. In the event Chi-Town Review introduces a new service, the fees for that service are effective at the launch of the service. In some cases fees such as transaction fees may be paid automatically to Chi-Town Review upon transaction before you receive payment for a product. Unless otherwise stated, all fees are quoted in US Dollars (USD).

If Chi-Town Review terminates a listing or your account, if you close your account, or if the payment of your fees cannot be completed for any reason, you remain obligated to pay Chi-Town Review for all unpaid fees plus any penalties, if applicable. If the seller’s account is not paid in full and becomes past due, the seller risks penalties such as the suspension of privileges and/or termination of the account and other collection mechanisms (including retaining collection agencies and legal counsel).

Policies. Chi-Town Review vendors are responsible for enforcing their own reasonable purchase policies, including shipping, returns, payment and selling. Chi-Town Reviewreserves the right to request that a seller modify a policy.

Transactions. Chi-Town Review vendors are responsible for accurately listing products and services, and buyers are responsible for reading the description of items before making a purchase. All sales are binding. The vendor is obligated to ship the order or otherwise complete the transaction with the buyer in a prompt manner, unless there is an exceptional circumstance, such as: (a) the buyer fails to meet the terms of the vendor’s listing (such as payment method), or (b) the seller cannot authenticate the buyer’s identity. The buyer is obligated to deliver appropriate payment for items purchased, unless there is an exceptional circumstance.

Your Chi-Town Review Account and Activity.

If you create an account with Chi-Town Review, you are responsible for maintaining the security of your account and profile, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the Website. You must not describe or assign keywords to your site, account or account pages in a misleading or unlawful manner, including in a manner intended to trade on the name or reputation of others, and Chi-Town Review may change or remove any description or keyword that it considers inappropriate or unlawful, or otherwise likely to cause Chi-Town Review to be positioned for possible liability. You must immediately notify Chi-Town Review of any unauthorized uses of your profile, your account or any other breaches of security. Chi-Town Review will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.

Fees and Payment.

Optional paid services (such as premium memberships, etc.) may be available on the Website. By selecting a premium or membership service you agree to pay Chi-Town Review applicable fees as indicated for that service. Membership service fees are not refundable.

Content Posted on Other Websites.

Chi-Town Review has not reviewed, and cannot review, all of the material, including computer software, made available through the Websites and WebPages to which Chi-Town Review links, and that link to Chi-Town Review. Chi-Town Review does not have any control over those non-Chi-Town Review Websites and WebPages, and is not responsible for their contents or their use. By linking to a non-Chi-Town Review Website or webpage, Chi-Town Review does not represent or imply that it endorses such Website or webpage. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. Chi-Town Review disclaims any responsibility for any harm resulting from your use of non-Chi-Town Review Websites and WebPages.

Copyright Infringement and DMCA Policy.

As Chi-Town Review asks others to respect its intellectual property rights, it respects the intellectual property rights of others. If you believe that material located on or linked to by Chi-Town Review violates your copyright, you are encouraged to notify Chi-Town Review. Chi-Town Review will respond to all such notices as required or appropriate. In the case of a visitor who may infringe or repeatedly infringes the copyrights or other intellectual property rights of Chi-Town Review or others, Chi-Town Review may, in its discretion, terminate or deny access to and use of the Website. In the case of such termination, Chi-Town Review will have no obligation to provide a refund of any amounts previously paid to Chi-Town Review.

Changes and Closure.

Chi-Town Review reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Website following the posting of any changes to this Agreement constitutes acceptance of those changes. Chi-Town Review may also, in the future, offer new services, fees and/or features through the Website (including, the release of new tools, services and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.

Chi-Town Review may, at any moment, and without incurring in any responsibility towards the User, modify the content of the Website or the Services, modify the conditions or cease to provide some or all the Services and features available or deactivate and delete all or some of the User accounts and their corresponding information.

Termination.

Chi-Town Review may terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement or your Chi-Town Review account (if you have one), you may simply discontinue using the Website. Notwithstanding the foregoing, if you have a VIP, Premium or other Paid Services account, such account can be terminated by Chi-Town Review if you materially breach this Agreement and fail to cure such breach within a reasonable time frame.  Chi-Town Review can also terminate the account immediately as part of a general shutdown of services or other lawful reason. Additionally, a paid account may be temporarily terminated pending a determination of the facts relating to a possible breach of this Agreement. Upon termination, all provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

NON-HUMAN VISITORS

Any Non-Human Visitors to these Websites shall be considered agents of the individual(s) who controls, authors or otherwise makes use of them. Such individual(s) shall be deemed responsible for the actions of their Non-Human Visitor devices in the same manner as if they personally visited the Website.

The access rights granted to you under the Terms Of Use are non-transferable without the express written permission of the owner of Chi-Town Review. You are responsible for the actions of any other person who may utilize your access rights on the Chi-Town Review Website.

A special restriction on a visitor’s license to access the Website applies to all Non-Human Visitors. Non-Human Visitors include, but are not limited to, web spiders, bots, indexers, robots, crawlers, harvesters, or any other computer programs designed to access, read, compile or gather content from the Website automatically.

Email addresses on Chi-Town Review are considered proprietary intellectual property. It is recognized that these email addresses are provided for human visitors alone. You acknowledge and agree that each email address the Website contains has a value not less than US $50. You further agree that the compilation, storage, and/or distribution of these addresses substantially diminishes the value of these addresses. Intentional collection, harvesting, gathering, and/or storing the Website’s email addresses is recognized as a violation of this agreement and expressly prohibited.

Disclaimer of Warranties.

The materials produced by Chi-Town Review on the Website are provided ‘as is’. Chi-Town Review makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, Chi-Town Review does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on the Website or otherwise relating to such materials or on any sites linked to this site.

Limitation of Liability.

In no event will Chi-Town Review, or its suppliers or licensors, or any individuals associated with those entities, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to Chi-Town Review under this agreement during the twelve (12) month period prior to the cause of action. Chi-Town Review shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

General Representation and Warranty.

You represent and warrant that (i) your use of the Website will be in strict accordance with the Chi-Town Review  Privacy Policy, with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the country in which you reside) and (ii) your use of the Website will not infringe or misappropriate the intellectual property rights of any third party.

Indemnification.

You agree to indemnify and hold harmless Chi-Town Review, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys fees, arising out of your use of the Website, including but not limited to out of your violation of this Agreement.

APPLICABLE LAW AND JURISDICTION

Each party agrees that any suit, action or proceeding brought by such party against the other in connection with or arising from the Terms of Service (“Judicial Action”) shall be governed by the law of the state of residence of the registered Administrative Contact (the “Admin State”) for the Website as such laws are applied to agreements between Admin State residents entered into and performed entirely within the Admin State. You consent to the jurisdiction of federal and state courts within the Admin State. You consent to the venue in any action brought against him in connection with breaches of these Terms of Service. You consent to electronic service of process regarding actions under the above agreement.

RECORDS OF VISITOR USE AND ABUSE

You consent to having your Internet Protocol address recorded. An email address may appear immediately below (the “Identifier”) if we suspect potential abuse. The Identifier is uniquely matched to your Internet Protocol address. Visitors agree not to use this address for any reason.
